TMZ has obtained a letter sent by Vivid honcho Steven Hirsch, offering the couple the chance to get behind the lens. The idea, it appears, is to have the gruesome twosome helm skin flicks that will draw directly from the couple's own fantasies.

We're told both sides will get together in the near future and discuss the deal, and Spencer is definitely interested ... if the numbers are right.

That's a phrase that applies to almost anything Spencer is offered.

TMZ has learned ... former Playboy Playmate Karissa Shannon and her BF, "Smallville" actor Sam Jones, have finally agreed to release their sex tape ... and all it took was cold, hard cash -- that's what she said.

Sources close to the couple tell us they both agreed to a deal with Vivid Entertainment when the offer hit the "six-figure range."

Treating herself to a delicious dinner, Karissa Shannon was spotted out to eat at BOA Steakhouse in West Hollywood last night (September 12).

Joined by her boyfriend Sam Jones III, the Playboy Playmate looked to be upset and sat down on a bench outside the eatery.

The drama all has to do with Ms. Shannon’s sex tape scandal, and she’s been freaking out that her video will be released by Vivid Entertainment.

For those of you disappointed the Heidi Montag sex tape has been kiboshed (for now), don't worry -- the Karissa Shannon tape promises to the be-all and end-all of celeb sex tapes.

As we first reported, Vivid Entertainment has their hands on the Karissa tape she made with boyfriend Sam Jones III. When we caught up with Vivid honcho Steven Hirsch outside STK last night (click here to watch video), he told us the Karissa tape was "definitely the most extreme video that I've ever seen, as a celebrity tape. There's everything you can imagine -- whips, chains, handcuffs. It's absolutely crazy."

But don't get too excited -- Jones has previously told us he and Karissa plan on having their lawyers but a block on the tape.

Karissa Shannon Sex Tape Surfaces ... At Vivid

Playmate Karissa Shannon is about to be celebdom's next sex tape debutante -- that is if Vivid Entertainment honcho Steve Hirsch gets to release the homemade XXX flick he calls "extremely erotic."

Hirsch tells TMZ he actually laid eyes on the tape which co-stars Karissa's boyfriend, "Smallville" actor Sam Jones III. Hirsch says it was sent to him from "a reputable third party" and that he'd "love to be able to release it."

The XXX footage in question sounds a lot like the sex tape Karissa claims Spencer Pratt stole from her house -- which, as we first reported, she's threatening to sue him over if he doesn't return it.

Vivid's chief isn't divulging who dropped the tape in his lap, but does say he's "very impressed with the quality and content" -- which sounds like executive speak for ... it's smoking hot!

But before you scour the internet for clips -- we spoke to Jones who said, "I understand that the guy from Vivid saw footage with Karissa and I in it. We have spoken to our legal team and they will be dealing with this ASAP."

So much for Heidi and Spencer in XXX ... TMZ has learned the estranged couple has officially cut off negotiations with Vivid Entertainment honcho Steven Hirsch ... telling him they're no longer interested.

Sources close to the couple tell us Spencer's rep shot a letter to Hirsch explaining, "Heidi's made it very clear that she is not interested in releasing any tapes" ... adding, "It looks like she pulled the kill switch."

The letter also explains, "Spencer's not interested in further destroying their relationship by pursuing an avenue she's so vehemently against."

Spencer's rep also told Hirsch that Pratt "thought $5 million would be enough to convince her, but now [Heidi] is saying she'll bring out the legal team if he persists."

The Heidi Montag sex tape has thus far been all talk from Spencer Pratt -- and now the president of Vivid Entertainment wants the tape in hand.

Steven Hirsch tells TMZ he isn't going to down to Costa Rica to meet with Spencer and Heidi about the sex tape -- until they coughs up a preview. Specifically, Hirsch says he wants to see at least 30 seconds of whatever it is they have.

As we first reported, the Pratts are asking for at least $5,000,000 for their library of footage. Hirsch says he asked Pratt to send him some kind of preview because he doesn't want to be part of any publicity stunt. So far, he hasn't seen a frame.

Looks like we'll find out soon if Spencer is bluffing ... or if he really has Heidi's pair.

First Lie: Spencer is blackmailing Heidi so he can release a sex tape of her.

Multiple legal experts have confirmed to Radar Online that all parties involved in a sex tape MUST consent to the release or else it is a slam-dunk lawsuit for the party that didn’t consent. If the tape is released, the party who hasn’t agreed can sue for invasion of privacy and a host of other legal issues. And they are nearly guaranteed of a huge court victory.

That’s the dirty little secret with celebrity sex tapes – the celebrity has to agree to its release and they always profit off the sales. Paris Hilton still gets a cut of her tape’s profits as does Kendra Wilkinson. Kim Kardashian settled for $5 million after dropping her lawsuit.

So without Heidi’s consent Spencer can’t release the tapes.

Second Lie: Heidi and Spencer have been staying apart.

As Radar Online exclusively reported, Heidi, Spencer and Cougar Zank have been living in the same house in Malibu all summer. Also, the separation and then divorce papers that Heidi filed didn’t even have the same wedding date on them.

Third Lie: Heidi is hiding out because she wanted to stay out of the limelight to focus on other things, like her movie career.

Radar Online has learned exclusively that the reason Heidi has been hidden in the past months is because she has been advised that photos sales of her would garner more income if the market wasn’t saturated with images of her.

Radar Online has also learned that there will soon be a barrage of Heidi photos to capitalize on the current attention focused on her and Spencer as their relationship dramas take another turn.

Hirsch To Go To Costa Rica To Talk W/ Speidi

The quest for the Heidi Montag and Spencer Pratt sex tape continues. 

Steven Hirsch, the president of Vivid Entertainment, confirms to X17online that he will be traveling to Costa Rica for a meeting with Spencer to discuss financial for distribution of the tape.

Spencer has joked about the tape through several Twitter messages.

Saturday night, Hirsch spoke to X17online about the sex tape saying:

"The potential for the Heidi tape would be through the roof... We bring them out to the marketplace, but after that it's up to the star and the things that they do after the tape is released that really tells the story just how well they do."

Karissa Shannon, a former Playboy playmate, has confirmed to X17online that a raunchy tape does exist featuring she and Heidi Montag, but Shannon doubts Spencer has it. Various online reports claim that Spencer has thrown out $5 million as a potential offer for the XXX material he currently possesses. Question is ... would you want to watch?

Although Spencer Pratt signed divorce documents in his split from Heidi Montag less than two weeks ago, the duo continue to stir up drama.

Pratt says he's shopping a sex tape of Montag with another woman and also writing a relationship tell-all. Plus, the two have been sparring on Twitter.

But Sunday, they were spotted by TMZ.com together in Costa Rica where they are still spending time.

"I had to bring the puppies down and help them move in," Pratt tells PEOPLE. "[Heidi] thought I was going to leave, but I'm not. I didn't want to get divorced … I have nothing in Malibu, I'm homeless, I'm nothing without her."

Montag admits she agreed to have Pratt join her in Costa Rica. "Everything was calm and going smoothly with the divorce," she says. "We were really getting along and it was amazing he was being so thoughtful to help me move. Then things turned."

By things turning, Montag is referring to the supposed deal Pratt is working on with Vivid Entertainment to sell a sex tape. "Spencer is trying to drum up press. This is exactly why I wanted to divorce him in the first place."

But Pratt insists such a tape does exist. "I told Heidi … if you don't want to do the new reality show with me, then I'll have to release old footage," he says. "I can get $5 million from a sex tape, but I really don't want to do that. It's not the way I want things to be. Heidi is furious with me but I need to look out for myself."

As for the future, "I'm going to leave the hotel and get a house because Spencer won’t leave me alone and won't go back to Malibu right now," Montag says. "It's just too hard. I still love him, but I can't stand what he's doing."

Spencer Pratt is hawking a supposed sex tape starring soon-to-be ex wife Heidi Montag, he confirms to Us Magazine.

"I've been making films since I was in the 7th grade," Pratt tells Us exclusively. "I'm looking forward to people seeing my directorial debut!"

Steve Hirsch, co-CEO of ubiquitous porn company Vivid Entertainment, told TMZ that he spoke with Pratt Friday about the explicit video, noting "We are in early negotiations to possibly come to terms for a deal."
